This document constitutes an official offer (public agreement) in accordance with Article 633 of the Civil Code of Ukraine.This Public Offer Agreement is public in nature and, pursuant to Articles 633 and 641 of the Civil Code of Ukraine, its terms are identical for all consumers. Unconditional acceptance of its terms (payment made by any method in accordance with Part 2 of Article 642 of the Civil Code of Ukraine) shall be deemed acceptance of this Agreement between the Buyer and the Seller and shall constitute evidence of its conclusion.
DEFINITIONS
Public Offer Agreement (the "Offer") – an agreement publicly concluded between the Seller and the Buyer regarding the terms of sale of goods and provision of services.
Resident – any legally capable natural person who has reached 18 years of age at the time of conclusion of the Agreement, or a legal entity, or an individual entrepreneur who, on the basis of a Public Offer Agreement concluded with the Administration, purchases goods, receives services, and pays for them.
Administration – the administration of the website https://www.lift99kyiv.co, Kooperativ Mind LLC.
Resident – a natural person who has reached 18 years of age and possesses full civil legal capacity, or a representative of a legal entity, who uses this website/application and/or its individual tools and modules and has agreed to the terms of the Offer.
Website – the website belonging to the Website Owner, containing the current list of goods and services, at the URL: https://www.lift99kyiv.co.
GENERAL PROVISIONS
1.1. This Agreement governs the procedure for the Resident's access to information about goods and/or services posted on the Website, as well as the possibility of the transfer of such goods and/or services to the Resident.
1.2. This Agreement constitutes a public offer. By using the materials and tools of the Website, the Resident shall be deemed to have unconditionally accepted this Agreement. The Resident must fully review the terms of this Agreement before registering on the Website and/or checking the "checkbox" symbol. Registration of the Resident on the Website evidences full and unconditional acceptance of the Agreement by the Resident (in accordance with Article 614 and Article 642 of the Civil Code of Ukraine).
1.2.1. By accepting this Agreement, the Resident automatically accepts the Rules of Conduct posted at: https://cutt.ly/ErrztYoP
1.3. Information about goods and/or services displayed on the Website https://www.lift99kyiv.co is dynamic. This means that the information may be updated, changed, supplemented, or removed by the Administration at any time without prior notice to the Resident.The Administration of the Website has the right, at any time, to amend the terms of this Agreement. Amendments shall take effect from the moment the new version of the Agreement is posted on the Website and shall not require additional notice to the Resident.
1.4. The agreement of all material terms by the Parties is evidenced by payment for and/or actual receipt of the goods and/or services by the Resident.
1.5. Upon acceptance of the Administration's offer, the Resident consents to receive information about goods and/or services by means of remote communication.
INFORMATION ABOUT GOODS/SERVICES
2.1. Information about the Goods/Services may be provided remotely (including by posting information on the Website, etc.). The Resident consents to receive information about the Goods by means of remote communication.
2.2. The price of Goods and/or services indicated on the Website is deemed indicative. The price agreed upon by the Parties may be changed by the Administration prior to the delivery of the Goods/provision of the Service to the Resident.
2.3. In the event of a change in the price of Goods and/or services, no compensation of any kind (including reimbursement of losses, penalties, etc.) shall be provided by the Administration.
2.4. In the event that information on the Website becomes outdated, the Administration is not obligated to amend or update such information. Under no circumstances shall the Administration be liable for any damages (including, but not limited to, loss of profit, data, or business interruption) arising from the use, inability to use, or the results of the use of this Website.
2.5. The Resident shall, no later than 5 (five) calendar days from the date of receipt from the Administration of the Certificate of Acceptance of Services Rendered, sign it and send it to the Administration, or provide a written, reasoned refusal to accept the services.
2.6. If, within the period specified in Clause 2.5 of the Agreement, the Administration does not receive a signed Certificate or a reasoned refusal, the Certificate shall be deemed signed by the Resident, and the services shall be deemed duly performed, in a timely manner, of appropriate quality, and accepted in full.
2.7. By making payment for the Goods and/or Services, the Resident voluntarily agrees that they are not entitled to a refund of the amounts paid, and also waives the right to dispute the payment through a card payment system (chargeback).
RIGHTS AND OBLIGATIONS OF THE PARTIES
3.1. The Resident undertakes to carefully review this Agreement. If the Resident does not agree with its terms, the Resident must immediately cease using the Website.
3.2. The Resident agrees not to take any actions that violate the applicable legislation of Ukraine, the norms of international law, intellectual property rights, or actions that may disrupt the normal operation of the Website and its services.
3.3. The use of Website materials without the written permission of the rights holder is not permitted. For lawful use, the relevant licensing agreements must be concluded.
3.4. When citing materials from the Website, including copyrighted works, a reference to the Website is mandatory.
3.5. Comments and other entries made by the Resident must not contravene the requirements of Ukrainian legislation or generally accepted norms of morality and ethics.
3.6. The Resident is advised that the Administration is not liable for visits to or use of external resources that may be linked from the Website.
3.7. The Resident agrees that the materials or services of the Website may be accompanied by advertising, and the Administration is not liable for such advertising.
3.8. The Administration shall review Residents' complaints within 30 (thirty) business days of their receipt.
3.9. In the event of force majeure circumstances, the Parties shall be released from the performance of their obligations under the Agreement.
3.10. In all other cases, the Parties shall be liable in accordance with the applicable legislation of Ukraine.
CONFIDENTIALITY AND DATA PROTECTION
4.1. The Resident consents to the Administration's collection, processing, accumulation, storage, and use of their personal data (full name, e-mail address, telephone number, and other personal data), as well as to its transfer to third parties solely for the purpose of fulfilling the terms of this Offer.
4.2. The Administration has the right to send informational and promotional messages to the Resident's e-mail and mobile telephone with the Resident's consent. The Resident has the right to opt out of receiving such messages.
4.3. The Administration uses Cookie technology. Cookies do not contain confidential information and are not transferred to third parties.
OTHER TERMS
5.1. The Website may be temporarily partially or fully unavailable due to technical, preventive maintenance, or other works.
5.2. In all matters not regulated by this Offer, the Parties shall be governed by the applicable legislation of Ukraine.
TERM OF THE AGREEMENT
6.1. This Agreement shall take effect from the moment of its acceptance by the Resident in accordance with Clause 1.2 and shall remain in effect until the Parties have fully performed their obligations.
6.2. The Parties have the right to terminate the Agreement by mutual consent prior to the actual receipt of the Services.
